This agreement
These terms are between you and Ecadel Group, which operates Akili OS. By creating an account or using the software, you accept them. If you are agreeing on behalf of an organization, you are saying you may do that, and "you" then means the organization.
If you are on the testing programme, the Tester Agreement also applies and takes precedence where the two differ.
What Akili OS is
Akili OS is one engine with three faces — Build for software, Motion for video, Work for documents and data — made of two parts:
- Software that runs on your machine: the CLI and the desktop app. It reads and writes your files, runs your build and your tests, and takes a git checkpoint before each run.
- A model service we operate, reached with an access token, which answers the model calls the software makes.
Two models are available: Akili Fundi (Code) for long multi-step work, and Akili Core for everyday chat and quick edits. Both carry a one-million-token context window and you can switch between them mid-conversation.
Your account
- Give us an address you can receive mail at. Your account is confirmed through it, and recovered through it.
- Choose a real password — at least ten characters — and keep it. We cannot read it or recover it.
- Your access token is a credential. Anything holding it can spend your tokens. It is shown once, when you create it, and regenerating it revokes the old one immediately. If it leaks, regenerate it.
- Tell us if you think someone else has your password. "Sign out everywhere" is on your profile and ends every session on every device.
- One person per account. An organization may have several people; each gets their own.
Your code, and what the agent writes
You own your code. You own what Akili produces for you. We claim no licence over either beyond what is technically necessary to answer a model call you asked for, and we do not use your code or your prompts to train models.
Two things follow that are worth stating plainly:
- Output is not guaranteed unique. A model asked a common question may produce similar answers for different people. We cannot promise that what it writes for you is original, and you should not assume it is.
- Review before you keep it. The agent builds and tests its own work and it is right far more often than not, but it is not a substitute for you reading the diff. Every run checkpoints first so that Keep and Revert are both one click — use them.
You are responsible for having the right to let Akili work on the code you point it at.
Tokens, plans and money
How tokens are counted
A token is the unit models are measured in. We count what the model itself reports: fresh input and output in full, and cached input at its real cost, which is about two per cent of the normal rate. When caching saves money, the saving is yours — it shows up as fewer tokens, not as a discount we keep.
Two limits, doing different jobs
- A daily cap, which is what lets a big day of work happen without one runaway agent emptying your account in an afternoon.
- A monthly allowance, measured over a rolling thirty days, which is what your plan actually buys.
A run that would cross a cap is stopped mid-flight. You are not billed for work you did not authorise and then told about it afterwards.
Credits
Credits bought as a top-up do not expire and are spent only once your plan's own allowance for the day or the month is used up. The welcome credit given to a new organization works the same way.
Paying
- Prices are shown before you pay and charged in the currency displayed.
- Payment is taken by our provider. We never see your card details.
- A month bought while a month is still running extends it — paying early adds time rather than throwing the remainder away.
- There is no automatic recurring charge you have to hunt for a button to stop. Cancel by not renewing.
- If a payment succeeds and your account does not change, tell us and we will fix it. Every payment attempt is recorded with its provider reference, so this is a matter of looking it up rather than taking anyone's word.
Refunds
If the service was materially broken during a period you paid for, or you were charged for something you did not buy, write to us and we will refund it. Unused allowance at the end of a month is not refundable — that is what a monthly allowance means — but unused credits remain yours and do not expire.
Price changes
We may change prices. A change never applies to a period you have already paid for, and we will tell you at least thirty days before it affects you.
What you may not do
A short list, and each item is here because of a real harm rather than to give us room to act arbitrarily. You may not use Akili OS to:
- build or operate anything designed to harm people — malware, credential theft, surveillance of individuals without their consent, systems built to deceive at scale;
- generate material that sexually exploits children, or content whose purpose is to harass, defame or incite violence against a person or group;
- break the law where you are, or help someone else do it;
- resell access to the model service, or route other people's traffic through your token, unless we have agreed to it in writing;
- work around a cap or a limit — sharing one token across many people, cycling accounts to collect welcome credit, or automating sign-ups;
- probe, overload or attack the service, or anybody else's account.
Security research is welcome. Tell us what you found at security@akilios.dev before you tell anyone else, and we will work with you.
Suspension
We may suspend an account that is doing one of the things above, that is putting the service or other people at risk, or where we are legally required to.
When we do: we tell you which reason and what happened, your sessions end and your access token stops working, and you keep the right to export your data. Where it is something you can fix, we say what. Where it was our mistake, we reinstate you and say so.
Availability, and what pre-release means
We work to keep the service up and we will be honest when it is not. We do not promise a particular uptime figure, and while Akili OS is in testing you should assume it will sometimes be unavailable, sometimes be slow, and sometimes be wrong.
Keep backups and use version control. An agent that edits files can edit them badly. The git checkpoint before each run exists precisely because this is a real risk, and it is your safety net, not a guarantee.
Features may change or be removed. Where a change would break how you work, we will tell you before it lands rather than after.
What we promise, and what we do not
We promise to run the service with reasonable care and skill, to describe it honestly, and to handle your data as our Privacy Policy says.
Beyond that, the service is provided as is. We do not warrant that it will be uninterrupted or error-free, that the output will be correct, complete or fit for any particular purpose, or that it will not occasionally produce something confidently wrong. You remain responsible for reviewing and testing anything you ship.
To the extent the law allows, our total liability to you for any claim is limited to what you paid us in the twelve months before it arose, and we are not liable for lost profits, lost data or indirect losses. Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited — and if you are a consumer, your statutory rights are untouched by any of this.
Ending it
You can delete your account at any time from your profile, and it is immediate.
We may end this agreement with thirty days' notice, or immediately where you have breached the acceptable-use section. If we shut the service down entirely, we will give you at least ninety days to get your data out and refund any unused paid time.
Changes to these terms
When we change them the date at the top changes. For a change that materially affects your rights we will email you at least thirty days beforehand, and continuing to use the service after it takes effect means you accept it. If you do not, delete your account before then and we will refund any unused paid time.
Law, and settling a disagreement
These terms are governed by the laws of Uganda, and the courts of Uganda have jurisdiction. If you are a consumer somewhere whose law gives you the right to bring a claim locally, that right is not taken away by this paragraph.
Before anyone goes near a court: write to us. Almost everything is a misunderstanding that a reply fixes, and we would much rather fix it.
